简介

马来西亚的投资控股公司（Investment Holding Company，简称 IHC）定义载于内陆税收局（IRBM）发布的《公共裁决第2/2024号》（PR 02/2024）。
投资控股公司主要从事持有投资，而非经营主动业务。确定其 IHC 身份将影响公司在1967年《所得税法令》（Income Tax Act 1967）下的评估方式，尤其在区分被动投资收入与主动营业收入方面。

投资控股公司的定义

根据 PR 02/2024，公司若符合以下两项条件，即被视为投资控股公司（IHC）：

• 主要活动为持有投资；且
• 至少80%的总收入（不包括来自投资持有业务的营业收入）来自股息、利息或租金等投资来源。

在计算“80%测试”时，只包括《所得税法》第4(c)条（利息、股息）及第4(d)条（租金）下的收入。

若公司提供主动维护或支援服务（第4(a)条），该租金收入视为营业收入，不属于被动投资收入。

投资持有业务 vs 主动租赁业务

一般来说，IHC从事的是被动的物业出租。
若公司提供全面的维护或支援服务（如建筑管理、园艺、设施保养），则视为主动租赁业务，而非被动投资控股。

示例：
仅提供保安或门禁控制 ≠ 主动服务
提供完整物业维护与管理服务 = 主动业务，不属投资控股

租赁业务的暂时中断

若公司因以下原因暂时失去租客或停止收租：

• 建筑维修或翻新；
• 租约终止后两年内无租客；
• 法律禁令或官方限制；
• 其他无法控制的情况；
  则公司在相关年度仍被视为非IHC，即使超过80%的总收入来自投资。

此规定确保暂时性空置不会影响公司的税务分类。

IHC 身份的推定条款

一旦公司在某一课税年度（YA）被认定为 IHC，除非能证明该年度不再符合定义，否则后续年度将持续被视为 IHC。

此推定条款确保税务处理的一致性。
